1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Sangha Edge ("Company," "we," "us," or "our"), a business consulting firm registered in Thailand with its principal office at 29 Nimmanhemin Road, Suthep, Mueang Chiang Mai, Chiang Mai 50200.

By engaging our consulting services, submitting inquiries through our website, or entering into a consulting agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use our services or website.

2. Definitions

For purposes of these Terms:

  • "Services" means business consulting services provided by Sangha Edge, including business health diagnostics, partnership and alliance strategy, and succession and continuity planning
  • "Engagement" means a formal consulting agreement between the Company and Client for specific Services
  • "Deliverables" means reports, analyses, frameworks, and other materials produced during an Engagement
  • "Confidential Information" means non-public information disclosed by either party
  • "Website" means the Company's website accessible at the domain associated with this service

3. Service Description

Sangha Edge provides business consulting services focused on three core areas:

  • Business Health Diagnostics: Structured evaluation of organizational performance and operational metrics
  • Partnership and Alliance Strategy: Identification and structuring of strategic business partnerships
  • Succession and Continuity Planning: Leadership transition planning and knowledge transfer protocols

Specific scope, deliverables, timelines, and fees for each Engagement are defined in individual consulting agreements. These Terms supplement and are incorporated into all such agreements.

Services are provided on a project basis. We do not offer ongoing retainer arrangements unless specifically agreed in writing.

4. Eligibility and Capacity

To engage our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Represent and warrant that you have authority to bind any organization on whose behalf you are engaging Services
  • Provide accurate and complete information during the inquiry and engagement process

5. Engagement Process

5.1 Initial Inquiry

You may submit inquiries through our website or by contacting us directly. Initial consultations are provided to discuss your needs and determine if our Services are appropriate.

5.2 Scope Definition

Before commencing work, we will provide a written proposal outlining scope, methodology, timeline, deliverables, and fees. Both parties must agree to these terms in writing before the Engagement begins.

5.3 Conflict Screening

We screen all potential Engagements for conflicts with existing clients. If a conflict is identified, we will notify you and may decline the Engagement to preserve client confidentiality and independence.

6. Payment Terms

6.1 Fees

Fees for Services are stated in Thai Baht (฿) and specified in each Engagement agreement. Published pricing on our website represents standard rates but may be adjusted based on specific requirements.

6.2 Payment Schedule

Unless otherwise agreed:

  • 50% of total fees are due upon signing the Engagement agreement
  • Remaining 50% is due upon delivery of final Deliverables
  • Payment is due within 14 days of invoice date

6.3 Late Payment

Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by law, whichever is less. We reserve the right to suspend Services for accounts more than 30 days overdue.

6.4 Expenses

Travel, accommodation, or other expenses exceeding ฿5,000 per Engagement require Client pre-approval and will be billed separately with supporting documentation.

7. Client Responsibilities

To enable effective service delivery, you agree to:

  • Provide timely access to information, documents, and personnel necessary for the Engagement
  • Respond to requests for information or feedback within agreed timeframes
  • Ensure accuracy and completeness of information provided
  • Designate a primary contact person with appropriate authority
  • Notify us promptly of any material changes affecting the Engagement
  • Maintain confidentiality of our methodologies and proprietary frameworks

8. Confidentiality

8.1 Mutual Obligations

Both parties agree to maintain confidentiality of all non-public information disclosed during the Engagement. This obligation survives termination of the Engagement.

8.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of this agreement
  • Was lawfully in the receiving party's possession prior to disclosure
  • Is independently developed without use of the other party's information
  • Must be disclosed pursuant to legal requirement or court order

8.3 Standard Practice

We routinely enter into non-disclosure agreements before commencing Engagements, particularly for succession planning and partnership strategy work involving sensitive information.

9. Intellectual Property

9.1 Our Intellectual Property

All methodologies, frameworks, templates, and analytical tools used in providing Services remain our exclusive property. You receive a limited, non-exclusive, non-transferable license to use Deliverables for your internal business purposes only.

9.2 Client Data and Information

You retain all rights to information, data, and materials you provide. We do not claim ownership of your business information.

9.3 Deliverables

Upon full payment, you own the specific Deliverables created for your Engagement but not the underlying methodologies, templates, or know-how used to create them.

10. Disclaimers

Services are provided "as is" with the following understandings:

  • Our recommendations represent professional opinions based on available information but do not guarantee specific business outcomes
  • Implementation of recommendations is solely your responsibility and decision
  • We do not provide legal, tax, or accounting advice; such matters should be addressed with appropriate licensed professionals
  • Business results depend on numerous factors beyond consulting recommendations
  • Past performance or client outcomes do not predict future results

11. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any claims arising from an Engagement shall not exceed the fees paid for that specific Engagement
  • We are not liable for indirect, consequential, or punitive damages including lost profits, revenue, or business opportunities
  • We are not liable for damages resulting from your failure to implement recommendations, improper implementation, or decisions based on incomplete information

These limitations apply regardless of the legal theory under which liability is claimed.

12. Indemnification

You agree to indemnify and hold harmless Sangha Edge, its consultants, and affiliates from claims arising from: your breach of these Terms, your implementation of recommendations, inaccurate information you provided, or your violation of applicable laws or third-party rights.

13. Termination

13.1 Termination by Client

You may terminate an Engagement by providing 14 days written notice. You remain obligated to pay for work completed up to the termination date plus any committed expenses.

13.2 Termination by Company

We may terminate an Engagement if:

  • You fail to provide necessary information or cooperation
  • Payment obligations are more than 30 days overdue
  • A conflict of interest arises that cannot be resolved
  • Continuing the Engagement would violate applicable laws or professional standards

13.3 Effect of Termination

Upon termination, we will provide work product completed to date. Confidentiality and intellectual property provisions survive termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Kingdom of Thailand without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Chiang Mai, Thailand.

14.3 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt good-faith negotiation to resolve disputes. If negotiations fail within 30 days, either party may pursue formal remedies.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any signed Engagement agreement, constitute the entire agreement between parties and supersede all prior discussions or understandings.

15.2 Amendments

We may update these Terms periodically. Changes become effective upon posting to our website. Continued use of Services after changes constitutes acceptance.

15.3 Severability

If any provision is found unenforceable, remaining provisions continue in full effect.

15.4 Waiver

Failure to enforce any provision does not constitute waiver of future enforcement rights.

15.5 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to affiliates or successors.
